1. Introduction

Welcome to Partyline.online™ (“the Platform”). By accessing or using Partyline.online™, including but not limited to ShareKey™, ShareStore™, ShareCatalog™ and all related functionality, you agree to be bound by these Terms & Conditions.

If you do not agree to these Terms, you must not use the Platform.

2. Definitions

For the purpose of these Terms:

Platform refers to Partyline.online™ and all associated systems and services.
User refers to any individual or legal entity accessing or using the Platform.
ShareKey™ refers to a unique, original identifier granting access to a ShareStore™.
ShareStore™ refers to a personal or business storefront controlled by a User.
ShareCatalog™ refers to the public directory of ShareStores that have opted for visibility.
Content refers to all text, images, links, products, media, or data provided by Users.

3. Nature of the Platform

Partyline.online™ is a user-controlled sharing and distribution platform.

The Platform provides infrastructure only.
Partyline.online™ does not act as a reseller, broker, or agent.
Partyline.online™ does not own, manage, or control User Content.

All actions performed through the Platform are carried out independently by Users, under their own responsibility. No guarantees are made regarding income, visibility, reach, or success.

4. Eligibility & Accounts

You must be able to form a legally binding agreement under the laws applicable to you. If you use the Platform on behalf of a business or organization, you confirm you have authority to bind that entity.

5. ShareKey™ Rules

Your ShareKey™ is intended to be unique and original. You are responsible for keeping it safe. You must not attempt to guess, brute-force, scrape, or otherwise access other Users’ ShareKeys or Stores. The Platform may block suspicious activity and may disable access to protect Users and systems.

6. User Content & Responsibility

You are responsible for any Content you provide or publish. You confirm you have the rights to use and share that Content and that it does not violate laws or third-party rights. You must not post content that is unlawful, harmful, abusive, deceptive, or that encourages fraud.

7. Privacy & Data Minimization

The Platform is designed to store only essential information needed to operate key functionality (identity links, transactions, and security checks). Personal media and personal stories remain yours; where possible, they remain on your own devices or storage. Some features may require data processing to function; by using those features you consent to that processing.

8. Payments, Escrow & Release of Funds

All payments made through Partyline.online™ are subject to a temporary holding period. Paid amounts are first placed on a secured intermediary or escrow account before any release to the seller or service provider.

This holding period exists to protect both buyers and sellers and to allow the buyer a reasonable opportunity to inspect, verify, and assess the delivered product and/or service.

For digital or time-based services, the standard holding period is 7 days, unless the nature or duration of the service reasonably requires a longer assessment period. In such cases, the applicable holding duration may be adjusted to match the length or completion phase of the service.

For physical products, the holding period typically ranges between 7 and 14 days, allowing sufficient time for delivery, inspection, and evaluation by the buyer.

If the buyer confirms satisfactory delivery and performance within the applicable period, the transaction is released and funds are transferred to the seller or service provider. If no action is taken within the holding period, the transaction may be released automatically, unless a dispute has been initiated.

In the event of a dispute, the release of funds may be paused while the matter is reviewed in accordance with the Platform’s dispute and compliance procedures.

Partyline.online™ does not act as a financial institution, reseller, or guarantor, but provides the technical infrastructure to facilitate conditional release of payments in a transparent and structured manner.

8.1 Pricing, Commissions & Display Transparency

All prices for products and services offered through Partyline.online™ must be presented as final consumer prices. Displayed prices shall include all applicable platform commission layers, referral rewards, and distribution fees associated with the transaction.

The amount visible to the buyer represents the total price payable for the product or service. Buyers are not charged additional commission or referral fees beyond the displayed price.

For sellers and service providers, the net amount received may differ from the displayed price due to the applicable commission structure. These commission layers may include, but are not limited to, platform fees, referral-based rewards, and distribution incentives.

The breakdown of commissions is handled internally by the Platform and does not alter the price paid by the buyer. Sellers acknowledge and accept that the listed price must already account for these commission layers when publishing products or services.

By offering a product or service on Partyline.online™, sellers confirm that their listed prices are intentionally set to include all commission obligations, ensuring price transparency, fairness, and consistency across the Platform.

8.2 Fixed Commission Structure

All transactions conducted via Partyline.online™ are subject to a fixed total commission of 15%. This commission is an integral and permanent part of the Platform’s economic model and applies to both products and services.

The allocation of this commission depends on whether a transaction involves an external seller or a product or service offered directly by Partyline.online™.

A. Transactions by External Sellers

For products and services offered by independent sellers or service providers using the Platform, the total 15% commission is distributed across the following fixed layers:

• 5% — Platform share (the Platform acts as the first distributor, ensuring neutrality and fairness)
• 5% — First people-based sharing layer
• 3% — Second people-based sharing layer
• 2% — Third people-based sharing layer

B. Products and Services Offered by Partyline.online™

When Partyline.online™ offers products or services under its own name, the Platform does not allocate a separate platform share to itself. In such cases, the full 15% commission is distributed exclusively among participating people-based sharing layers.

For all products and services offered directly by Partyline.online™, the commission is allocated as follows:

• 7.5% — First people-based sharing layer
• 5% — Second people-based sharing layer
• 2.5% — Third people-based sharing layer

This principle applies to all current and future products and services released by Partyline.online™, without exception.

All listed prices on the Platform must be set inclusive of the full 15% commission. Buyers are never charged commission separately. The displayed price always represents the final amount payable by the buyer.

By participating in transactions on the Platform, sellers and Users explicitly acknowledge and accept this fixed commission structure and its allocation rules.

8.3 Shipping, Delivery & Fulfilment Costs

All commission percentages and distributions described in these Terms & Conditions apply exclusively to the net product or service price.

Shipping, delivery, handling, fulfilment, and logistics costs are not included in the commission structure and are calculated separately where applicable.

Any shipping or delivery costs shown to the buyer are charged in addition to the product or service price and do not form part of the commission base.

Sellers remain responsible for setting, communicating, and fulfilling any applicable shipping or delivery terms in a transparent manner, unless explicitly stated otherwise for products or services offered directly by Partyline.online™.

Where shipping or delivery costs are included in a listed price, this must be clearly indicated to the buyer. In such cases, commission calculations shall still apply only to the underlying product or service value, excluding the shipping or delivery component.

9. Availability & Devices

The Platform is intended to be usable on mobile phones, tablets, laptops, and desktop computers. Availability may be affected by maintenance, upgrades, internet connectivity, browser differences, or device limitations. We aim for broad compatibility but do not guarantee uninterrupted operation.

10. Prohibited Use

You must not (a) attack the Platform, (b) attempt unauthorized access, (c) disrupt service, (d) use automation to scrape or harvest, (e) impersonate others, (f) use the Platform for illegal activity.

11. Limitation of Liability

To the maximum extent permitted by law, the Platform is provided “as is” and “as available”. We are not liable for indirect or consequential losses, lost profits, lost data, or business interruption. Nothing in these Terms excludes liability where such exclusion is not permitted by law.

12. Changes

We may update these Terms to reflect legal, technical, or operational changes. The latest version is effective once published on the Platform. Continued use after changes means you accept the updated Terms.

13. Governing Law

These Terms are intended to be valid internationally. Mandatory consumer protections and mandatory local laws may still apply depending on your location. Where a specific jurisdiction must be used, it will be stated in the relevant transaction or legal notice.
